Companies registration in Seychelles

Seychelles is an island nation in the Indian Ocean.

The form of government is presidential republic. The judicial system is based on incorporated English law, French civil law and customary law. Seychelles is a member of the British Commonwealth.

Regarding control, regulation, licensing and registration of offshore companies Seychelles is administered by the SIBA (Seychelles International Business Authority).

The law of the Seychelles International Business Companies is determined by International Business Companies Act and the Law of the Seychelles International Trusts (International Trust Act).

International business company (IBC)

The share capital

The minimum share capital is not predetermined. Recommended - 50 000 $. No requirements to paid up share capital.

 

Taxation and Reporting 

 

Fixed annual state fee. No requirements for mandatory audits for companies. Zero taxation, if the company conducts business abroad.

The shareholders and directors

Must be minimmum one shareholder and a director. They may be individuals or legal entities, residents or non-residents. Possible nominee services.

Confidentiality

The law guarantees the privacy of the owners and directors. Information from the constituent documents and copies which are reserved in the register of companies may be represented by third parties only after the court decision.

                                                                      

The term of activity of the company registered in the Republic, must be renewed every year, two months before the date of incorporation.
